These Terms of Use (“Terms”) govern your access to and use of Proposal.Biz, including our websites, applications, proposal and document tools, AI features, APIs, MCP connections, integrations, and related services (collectively, the “Services”). Proposal.Biz is operated by EnactOn Technologies Private Limited (“Proposal.Biz”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

1. Use of the Service

Proposal.Biz provides software for creating, managing, sharing, tracking, and processing professional proposals, documents, agreements, and related business content, including AI-assisted functionality.

You agree to provide accurate account information, maintain the confidentiality of your login credentials and access keys, keep your account information current, and promptly notify us of unauthorized access or a security incident affecting your account.

2. Your Account and Authority

You are responsible for activity performed through your account and for ensuring that anyone using the account on your behalf complies with these Terms.

You must have the necessary authority and rights to submit, upload, process, share, or otherwise use any content or data you provide through the Services.

3. Your Content

You retain all right, title, and interest in the content, documents, files, data, text, proposals, templates, and other materials that you submit to, upload to, create in, or otherwise provide through Proposal.Biz (“Your Content”).

You grant Proposal.Biz a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display, and otherwise use Your Content only as reasonably necessary to:

  • provide, operate, maintain, secure, and support the Services;
  • create, render, store, share, deliver, and track documents and proposals at your request;
  • provide AI-powered features that you request;
  • process requests received through integrations, APIs, MCP connections, ChatGPT, Claude, or other supported AI assistants;
  • synchronize information with third-party services that you explicitly connect or authorize; and
  • comply with applicable law or protect the security and integrity of the Services.

We may use third-party service providers for hosting, storage, infrastructure, AI processing, communications, security, analytics, payment, authentication, and other services necessary to operate the Services. Such providers may process Your Content only as reasonably necessary to provide their services to us or as otherwise permitted by applicable law.

Where you choose to connect Proposal.Biz to a third-party service, you authorize Proposal.Biz to exchange the information reasonably necessary to provide the integration or action you request, subject to the permissions and configuration of that service.

We do not sell Your Content as a commercial product and do not use Your Content for unrelated advertising purposes.

You are responsible for ensuring that you have all rights, permissions, consents, and lawful bases required to submit, upload, share, or process Your Content through the Services, and for ensuring that Your Content does not violate applicable law, contract, confidentiality obligations, or third-party rights.

With your separate consent, we may identify your company as a Proposal.Biz customer and display your company name or logo for that limited purpose. Case studies, testimonials, or press releases require separate written approval.

4. Subscriptions and Payments

Proposal.Biz may offer free and paid plans. Paid plans are billed according to the pricing, billing frequency, and plan terms presented at signup or purchase.

We may change pricing prospectively with reasonable advance notice where required by law. Refunds are governed by the applicable refund terms presented with the purchase, subject to applicable law.

5. Acceptable Use

You must not use the Services to:

  • engage in unlawful activity, fraud, phishing, spam, or abuse;
  • infringe, misappropriate, or otherwise violate the intellectual property, privacy, confidentiality, or other rights of any person;
  • harass, defame, threaten, or intentionally harm another person or organization;
  • attempt to reverse-engineer, disrupt, compromise, or gain unauthorized access to the Services or connected systems;
  • circumvent authentication, access controls, usage limits, or security measures;
  • upload or transmit malware, malicious code, or harmful content; or
  • use an AI-assisted connection or integration to perform actions you are not authorized to perform.

We may suspend or terminate access for material violations of these Terms, unlawful activity, security risks, abuse, or conduct that may harm the Services or others.

6. AI-Powered Features

Proposal.Biz uses artificial intelligence and machine-learning technologies for document drafting, rewriting, summarization, extraction, analysis, scoring, formatting, content suggestions, and related functionality.

When you request an AI-powered feature, Proposal.Biz may process the prompts, instructions, documents, files, business information, selected content, and other context reasonably necessary to provide the requested functionality. Information required for AI processing may be transmitted to third-party AI or technology providers used by Proposal.Biz.

AI-generated content is an assistive output and may contain inaccuracies, omissions, errors, or other defects. You are responsible for reviewing, validating, editing, and approving AI-generated content before using, publishing, sending, signing, or relying on it.

Proposal.Biz does not warrant that AI-generated content is accurate, complete, original, legally sufficient, non-infringing, or suitable for a particular purpose.

7. Proposal.Biz Through ChatGPT, Claude, MCP, APIs, and Other AI Assistants

Proposal.Biz may be accessed through ChatGPT, Claude, MCP servers, APIs, connectors, custom actions, or other AI-assisted interfaces.

When you use Proposal.Biz through one of these interfaces, the applicable AI assistant or connected service may send Proposal.Biz the information necessary to respond to your request or perform the action you authorize.

Depending on the functionality and permissions involved, information transmitted to Proposal.Biz may include instructions, prompts, relevant conversation or document context, selected files or content, account or authorization information, and tool or action parameters.

Proposal.Biz may use that information to authenticate the connection, retrieve or modify information in your Proposal.Biz account, create or update documents, execute supported actions, and return the requested result to the connected AI assistant.

Information returned by Proposal.Biz may be provided to the applicable AI assistant so it can present the result to you or complete the requested interaction.

Your use of the third-party AI assistant is also subject to its own terms, privacy policy, and settings.

When using Proposal.Biz through ChatGPT or another AI-assisted connection, you must not submit Protected Health Information as defined under the HIPAA Privacy Rule or payment card data regulated under PCI DSS through that connection.

8. Third-Party Services and Integrations

Proposal.Biz may integrate with or rely on third-party services, including HubSpot, Zoho CRM, Google Drive, Slack, e-signature services, payment processors, communication platforms, analytics services, hosting and infrastructure providers, AI technology providers, authentication services, and other external services.

When you enable an integration, API, OAuth connection, MCP connection, or similar functionality, Proposal.Biz may exchange information with that service as necessary to provide the functionality you request and according to the permissions you grant.

Your use of the third-party service is governed by that provider’s terms, privacy policy, and applicable settings.

Proposal.Biz does not control and is not responsible for the availability, security, privacy practices, data processing, content, or functionality of third-party services outside our control.

Disconnecting an integration generally prevents future access through that connection but does not automatically delete information previously transferred to or stored by the third party.

9. Connected Accounts and Authorization

Certain features require you to authorize Proposal.Biz or a connected application to access information or perform actions on your behalf.

You are responsible for reviewing the permissions requested and ensuring that you have authority to grant them.

You may be able to revoke or disconnect an authorization through Proposal.Biz, the connected service, or your account settings, depending on the integration.

You are responsible for keeping credentials, API keys, access tokens, and other authentication information secure.

You authorize Proposal.Biz to access, process, transmit, create, update, or delete information only to the extent necessary to perform the functions you request or have enabled, subject to the applicable permissions and these Terms.

10. Intellectual Property

Proposal.Biz and its licensors own all rights in the Services, including software, interfaces, designs, trademarks, logos, and other platform materials, except for Your Content and third-party materials.

You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from the Services except as permitted by law or expressly authorized by us.

Your Content remains yours. We do not claim ownership of documents, proposals, or files you create or upload through the Services.

11. Confidentiality

We will treat non-public business and document information submitted to Proposal.Biz as confidential and will use it only as necessary to provide, secure, support, and operate the Services in accordance with these Terms and our Privacy Policy, or as otherwise authorized by you or required by law.

You are responsible for determining whether information is appropriate for processing through the Services and for complying with confidentiality and other legal obligations applicable to that information.

12. Security

We maintain reasonable and appropriate organizational, administrative, physical, and technical measures designed to protect the Services and information processed through them.

You are responsible for maintaining the security of your account, credentials, API keys, and connected-service authorizations.

13. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE, OR THAT RESULTS OBTAINED THROUGH THE SERVICES WILL BE COMPLETE OR RELIABLE.

Proposal.Biz may depend on third-party infrastructure, integrations, APIs, AI technologies, and other external services. We do not guarantee the availability, accuracy, security, or compatibility of those third-party services.

AI-generated outputs and information retrieved through integrations may contain errors, omissions, outdated information, or other inaccuracies and must be independently reviewed before use.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Proposal.Biz, EnactOn Technologies Private Limited, and their affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data, arising out of or relating to the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees paid by you to Proposal.Biz for the Services during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EnactOn Technologies Private Limited, Proposal.Biz, and their affiliates, personnel, and service providers from third-party claims, damages, liabilities, costs, and reasonable expenses arising from or relating to Your Content, your unlawful or unauthorized use of the Services, your violation of these Terms, or your violation of another person’s rights.

16. Suspension and Termination

You may stop using Proposal.Biz or request account deletion at any time.

We may suspend or terminate your access if you materially breach these Terms, engage in unlawful or abusive conduct, create a security risk, fail to pay applicable fees, or otherwise misuse the Services.

Where reasonably practicable, we will provide notice before taking action unless immediate action is required for security, legal, fraud-prevention, or other legitimate reasons.

Following termination, your right to access and use the Services will cease. We will handle Your Content in accordance with our Privacy Policy and applicable contractual obligations.

Account deletion is performed from the Proposal.Biz backend upon request, subject to the retention and backup periods described in the Privacy Policy.

17. Changes to These Terms

We may update these Terms to reflect changes in the Services, technology, law, or our business. We will post updated Terms and, where required by law, provide additional notice.

Material changes will become effective when the updated Terms state they become effective. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, to the extent permitted by law.

18. Relationship with the Privacy Policy and Other Agreements

These Terms govern your use of the Services. Our Privacy Policy explains how we collect, use, disclose, and retain information.

Certain features, integrations, subscriptions, or enterprise services may be subject to additional terms or written agreements.

If there is a conflict between these Terms and a separately signed written agreement between you and Proposal.Biz, the signed agreement will control to the extent of the conflict.

19. Third-Party Platform Relationship

Proposal.Biz is an independent third-party service. Availability of Proposal.Biz through ChatGPT, OpenAI, Claude, or another platform does not imply that Proposal.Biz is created, sponsored, certified, endorsed, or operated by that platform unless expressly stated in a written agreement.

You remain subject to the applicable terms and policies of the third-party platform.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

The courts located in Surat, Gujarat, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, to the extent permitted by applicable law.

21. General

If any provision of these Terms is found to be unenforceable, it will be modified only to the extent necessary to make it enforceable, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable written agreements, constitute the agreement between you and Proposal.Biz concerning the Services unless a separate written agreement states otherwise.
